These terms of use (the "Terms") apply to your use of www.jamesdixey.co.uk (the "Website") operated by James Dixey Limited ("we", "us", "our"). By accessing or using the Website, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Website.

These Terms should be read together with our Disclaimer, our Privacy Notice, and — where applicable — any confidentiality agreement, engagement letter, or other contract you enter into with us. The Disclaimer in particular governs the status of any sales particulars, information memoranda or listings on the Website, and prevails over these Terms where there is any conflict in relation to those materials.

•      download documents and resources that we make expressly available for download;

•      share links to individual pages on the Website on social media or in correspondence, provided the link is not presented in a misleading way;

•      print or download single copies of pages for your personal, non-commercial reference.

3. Prohibited use

You must not:

•      use the Website in any way that breaches any applicable law or regulation, or in a way that is fraudulent, deceptive, or harmful;

"Dixey" and the Dixey device are trade marks used by James Dixey Limited. Nothing on the Website grants, by implication or otherwise, any licence or right to use any such trade mark without our prior written permission.

Except as permitted by clause 2, you have no rights in or to the Website or any of its content, and you may not use it in any way, for any purpose, without our prior written consent.

5. Enquiries and account registration

When you submit an enquiry or register an account on the Website, you agree that:

•      the information you provide is accurate, complete, and not misleading;

•      you will update the information if it changes (for example, if your email address, employer, or area of interest changes);

•      you are authorised to submit the information — in particular, if you are acting on behalf of a company, fund, charity, or other organisation, that you have the authority to do so;

The Website carries anonymised summaries of businesses we are instructed to sell. Those listings are subject to our Disclaimer. In summary, and without limiting the Disclaimer:

•      no listing is an offer for sale or an invitation to treat;

•      information on listings is believed correct as at the date of publication but is not guaranteed;

•      figures, regulatory ratings, and other details should be independently verified;

•      no detailed financial information or identification of the selling business is provided without a signed confidentiality agreement;

•      any transaction is subject to contract and to all necessary regulatory and third-party consents.

7. Market reports, guides, and downloadable content

Reports, guides, market commentary, calculators (including any valuation calculator or indicative-multiple tool), case studies and similar materials published on the Website or made available for download are provided for general information only. They are not personalised advice. They are not RICS Red Book valuations. They are not offers to advise or to transact. You should not act or refrain from acting on the basis of any such material without taking specific professional advice.

Nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be limited or excluded.

Subject to the paragraph above, we provide the Website on an "as is" and "as available" basis. To the fullest extent permitted by law:

•      we exclude all implied conditions, warranties, representations or other terms that may apply to the Website or any content on it;

These Terms, their subject matter and their formation (including any non-contractual disputes or claims) are governed by the laws of England and Wales. You and we agree that the courts of England and Wales have exclusive jurisdiction, save that we retain the right to bring proceedings against you for breach of these Terms in your country of residence or any other relevant country.
